Welcome and Acceptance
Sonilo Inc. ("Sonilo," "we", "us", or "our") makes available an AI-powered music creation service through https://Sonilo.com and related websites (the "Site"), any mobile or other applications or platform we provide, and any approved third-party platforms, together with all related content, tools, features, software, and functionality (collectively, the "Service").
Your access to and use of the Service are governed by these Terms of Service, as updated from time to time (these "Terms").
By creating an account, clicking a button indicating acceptance, or accessing or using the Service, you agree to these Terms.
If you do not agree to these Terms, do not access or use the Service.
We may update these Terms from time to time. When we do, we will post the updated version on the Site and update the revision date above. If a change is material, we may also notify you through the Service, by email, or by another method, in our sole discretion.
If you continue using the Service after updated Terms become effective, you agree to the revised Terms. If you do not agree, you must stop using or accessing the Service.

1. Description of the Service
Sonilo lets users submit any video, audiovisual, or multimedia content, in any format or medium, text prompt, written instruction, and other materials that the Service accepts (collectively, "Inputs") in order to generate music, soundtracks, stems, lyrics, audio files, audiovisual combinations, and other machine-generated results (collectively, "Outputs"). Inputs and Outputs together are collectively referred to in these Terms as "Content."
For purposes herein: (a) "Inputs" include any video, audiovisual, multimedia, textual, or other content, in any format or medium, that is uploaded, submitted, posted, transmitted, linked, prompted, described, or otherwise made available by or on behalf of a user in connection with the Services, including text prompts, instructions, descriptions, keywords, references, all visual, audio, audiovisual, textual, graphic, and other content embodied therein, any performances, compositions, recordings, images, likenesses, protectable marks, or other materials incorporated therein, all associated metadata, tags, captions, timestamps, and descriptive or contextual information, whether embedded, provided by the user, or automatically generated, and any data, features, attributes, patterns, or representations extracted, derived, inferred, or generated from such content by the Services, including through automated, algorithmic, or machine learning processes; and (b) "Outputs" include any audio, musical, audiovisual, textual, or other content generated, produced, or otherwise created by or through the Services in response to, conditioned on, or derived from any Input, including any sound recordings, musical compositions, audio files, stems, tracks, loops, samples, MIDI data, symbolic representations, lyrics, captions, audiovisual combinations, or other music- or media-related materials, together with all underlying musical, sonic, visual, and expressive elements, and any associated data, metadata, tags, timing information, embeddings, feature representations, or other machine-readable or human-perceptible outputs (including melody, harmony, rhythm, tempo, structure, arrangement, timbre, dynamics, and effects), in each case whether generated in whole or in part through automated, algorithmic, or machine learning processes, and including any intermediate outputs, iterative results, variations, modifications, adaptations, or derivative versions thereof.
The Service may also include public, social, or community features that allow you to publish, share, browse, remix, comment on, or otherwise interact with Content and other users.
2. Eligibility
To use the Service, you must meet the following requirements:
- You must be at least 13 years old, or older if the law where you live requires a higher minimum age to use the Service.
- You must not be prohibited from using the Service or similar AI-based services under applicable law.
- If you use the Service on behalf of a company or other organization, you represent and warrant that you have authority to bind that entity to these Terms, and "you" will include that entity.
3. Accounts and Use of the Service
3.1 Account Registration
You may need to create an account or provide information such as your name and email address to use some parts of the Service. You agree to provide accurate, current, and complete information and to keep it updated.
By registering for an account, you agree to these Terms and acknowledge our Privacy Policy.
If you are under 18 years old, you may use the Service only with permission from a parent or legal guardian. We may request information necessary to verify that permission in our sole discretion.
We may offer a free tier or trial access, but we are not required to do so. You may not create multiple accounts to avoid limits or obtain additional free usage. If we believe you are abusing a free tier or trial, we may restrict or end that access.
3.2 Account Security
You are solely responsible for keeping your login credentials confidential and for all activity that occurs under your account.
a) You must promptly notify Sonilo of any unauthorized use of your account or any other security breach.
b) You should log out of your account at the end of each session when using a shared or unsecured device.
Sonilo is not responsible for losses arising from your failure to protect your account.
3.3 Changes to the Service
We may change, suspend, or discontinue all or part of the Service at any time, in our sole discretion. To the extent permitted by law, Sonilo will not be liable for any modification, suspension, or discontinuation of the Service.
3.4 Usage Limits and Storage
We may set limits on use of the Service, in our sole discretion, including limits on storage, retention periods, generation volume, file size, API usage, and other technical parameters. We may rely on our third-party service providers to host or process data on our behalf.
We may delete inactive accounts or Content associated with them after an extended period of inactivity, and we may change our usage limits and retention practices from time to time, in each case, in our sole discretion.
4. User Conduct
You are responsible for your use of the Service, for the Inputs you submit or make available through the Service, and for how you use, share, publish, or distribute any Outputs.
You are solely responsible for ensuring that your Inputs are lawful and appropriate and that your use of the Service and any Output complies with these Terms and any applicable law. Content posted by users does not imply Sonilo's approval or endorsement.
You may not use the Service or Outputs to build, train, benchmark, or offer a product or service that competes with Sonilo.
We may investigate suspected violations of these Terms and may remove Content, limit access, suspend or terminate accounts, or contact law enforcement if we believe that doing so is appropriate, in our sole discretion.
You will not use the Service to: Submit, upload, transmit, or otherwise make available any Input, or request any Output, that: (a) infringes, misappropriates, or otherwise violates any intellectual property, privacy, publicity, confidentiality, or other rights of any person or entity; (b) you do not have the right to use; (c) contains malware, malicious code, or other harmful components; (d) creates a security or privacy risk; (e) is or supports spam, deceptive marketing, scams, or other unauthorized solicitations; (f) is unlawful, fraudulent, abusive, harassing, defamatory, hateful, discriminatory, sexually exploitative, obscene, violent, or otherwise harmful, or is used to facilitate such conduct; or (g) otherwise violates these Terms, applicable law, or is determined by us, in our sole discretion, to be inappropriate, harmful, or likely to expose the Service or any third party to risk, liability, or reputational harm.
5. Your Inputs and Rights You Grant Us
5.1 Your Inputs
Only submit Inputs that you have all rights to use. By submitting any Input, you represent, warrant, and covenant that:
- You have all rights, licenses, consents, permissions, power and authority needed to submit and use the Input and allow us to use it to operate the Service and generate Outputs for you.
- Your Input, and our use of it as permitted by these Terms, will not violate any law, contract, or third-party right.
- We will not be required to obtain additional permissions from, or make additional payments to, third parties in order to use your Input as authorized by these Terms.
5.2 License You Grant to Sonilo
You retain ownership of your Inputs, but you grant Sonilo an irrevocable, non-exclusive, worldwide, perpetual, royalty-free license to host, store, reproduce, modify, adapt, transmit, display, publicly perform, and otherwise use your Inputs as needed to provide, secure, maintain, and improve the Service, including generating Outputs for you and supporting community, moderation, billing, analytics, and customer support features. Such license shall include the right to:
- Use your Inputs to process requests, generate Outputs, and operate the Service;
- Use your Inputs and related usage data to improve, test, and develop the Service and related models to the extent described in these Terms, our Privacy Policy, and any product settings or plan terms that apply to your account;
- Store, reproduce, and share your Inputs with our service providers to provide and support the Service.
6. Generated Output and Usage Rights
6.1 Ownership of Outputs
As between you and Sonilo, and subject to your compliance with these Terms, applicable law, and any plan-specific restrictions, Sonilo assigns to you any rights we may have in the Outputs generated for your account.
This means you may use Outputs generated for your account as permitted under your subscription tier, but your rights may be limited if an Output is not protectable under applicable intellectual property law or if it includes or reflects third-party rights.
No Output assignment or other provision of these Terms grants, conveys, or implies any ownership, license, or other rights in or to Sonilo's underlying technology, including its models, algorithms, systems, software, source code, object code, architectures, structures, sequences, organization, training methods, training data (to the extent owned or controlled by Sonilo), model weights, parameters, embeddings, configurations, prompts, workflows, know-how, documentation, tools, infrastructure, or any improvements, modifications, or derivatives thereof (collectively, the "Sonilo Technology"). All rights, title, and interest in and to the Sonilo Technology are and shall remain exclusively owned by Sonilo.
6.2 Commercial Use by Plan
Your right to use Outputs for commercial purposes depends on the plan tied to the account that generated the Output:
- Free Tier: Outputs are for personal, experimental, and other non-commercial use only.
- Pro Tier: Commercial use of Outputs generated under that tier is permitted, subject to these Terms.
- Enterprise: Commercial and other usage rights will be governed by the applicable enterprise agreement if one exists.
You are solely responsible for obtaining, clearing, and maintaining all rights, licenses, consents, permissions, and approvals necessary for your access to, use of, and exploitation of any Output, including for any commercial or public use. This includes all rights arising under or related to copyright, neighboring rights, moral rights, trademark, trade dress, patent, rights of publicity or privacy, rights in name, image, voice, or likeness, contractual rights, guild or union obligations, and any other proprietary or personal rights of any person or entity, whether embodied in the Outputs or implicated by its use. You are further responsible for ensuring that your use of the Outputs does not infringe, misappropriate, or otherwise violate any applicable law or third-party rights, and that you have secured all necessary rights in any underlying materials, Inputs, or elements that may be reflected in or give rise to the Outputs.
6.3 Sonilo's Rights to Use Content
You hereby grant Sonilo an irrevocable, non-exclusive, worldwide, perpetual, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, store, process, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, publicly display, and otherwise use your Content to provide, maintain, secure, enforce, improve, and develop the Service and any related products, services, or technologies, and to make your Content available through any sharing or publishing features you choose to use, including:
- Operate, provide, maintain, and secure the Service, including trust and safety, fraud prevention, and content moderation functions;
- Generate, process, analyze, transform, synchronize, host, store, and deliver Outputs and related features you request;
- Train, retrain, fine-tune, test, validate, and improve the Service and related machine learning models, algorithms, and systems, including by creating and using embeddings, feature representations, and other derived data from your Content, except to the extent a separate plan, product setting, or written agreement states that particular Content will not be used for such purposes;
- Develop, update, optimize, and support new and existing tools, features, models, and service functionality, including across different products or services;
- Combine your Content with other data and use it across systems and models to improve performance, functionality, and user experience; and
- Use Content that you intentionally make public through the Service, or separately authorize us to use, to promote, market, or demonstrate the Service and related technologies.
These rights apply to any and all Content you submit or make available in connection with the Service, including prompts, lyrics, uploaded video or audio, audiovisual works, compositions, sound recordings, stems, samples, metadata, project files, and any associated data or materials. You acknowledge that your Content may be used to improve systems that generate outputs for other users, and that similar or identical outputs may be generated for others. You are not entitled to any compensation for Sonilo's use of your Content as described above.
The license described above is:
- Perpetual and irrevocable
- Royalty-free and fully paid-up;
- Worldwide; and
- Sublicensable.
7. Copyright Policy (DMCA)
Sonilo respects the intellectual property rights of others and expects users to do the same. Consistent with the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA"), we respond to valid notices of alleged copyright infringement.
If you believe material available through the Service infringes your copyright, you may send a written notice to our designated Copyright Agent using the contact information below.
7.1 Designated Copyright Agent

7.2 Requirements for a Valid DMCA Notice
Under 17 U.S.C. § 512(c)(3), a valid infringement notice must include all of the following:
- A physical or electronic signature of a person authorized to act on behalf of the owner of the allegedly infringed exclusive right.
- Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by one notice, a representative list of those works.
- Identification of the allegedly infringing material, and information sufficient for us to locate it, such as:
- URL(s)
- Account name
- Project or generation ID
- Date of upload or publication
- Information sufficient to allow us to contact the complaining party, including:
- Full legal name
- Mailing address
- Telephone number
- Email address
- A statement that the complaining party has a good faith belief that the challenged use is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notice is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of the allegedly infringed exclusive right.
If a notice does not meet these requirements, it may be ineffective.
7.3 Counter-Notification Procedure
If your material was removed or disabled because of a DMCA notice and you believe that happened by mistake or misidentification, you may send a counter-notification under 17 U.S.C. § 512(g).
A valid counter-notification must include:
- Your physical or electronic signature;
- Identification of the material that was removed or disabled and where it appeared before removal or disablement;
- A statement under penalty of perjury that you have a good faith belief the material was removed or disabled because of mistake or misidentification;
- Your name, address, and telephone number; and
- A statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located, or, if your address is outside the United States, for any judicial district in which Sonilo may be found, and that you will accept service of process from the person who submitted the original DMCA notice or that person's agent.
If we receive a valid counter-notification, we may restore the material as permitted by the DMCA unless the original complainant timely files a court action seeking to restrain the allegedly infringing activity.
7.4 Repeat Infringer Policy
In appropriate circumstances, and consistent with the DMCA and other applicable law, Sonilo may suspend or terminate the accounts of users who repeatedly infringe the intellectual property rights of others.
For purposes of this policy, a "repeat infringer" generally means a user who:
- Has been the subject of multiple valid DMCA notices; or
- Has otherwise repeatedly engaged in infringing activity through the Service.
We may also suspend or terminate an account after a single serious infringement incident if the circumstances warrant it.
A user generally will not be treated as a repeat infringer where:
- A complaint is withdrawn;
- A valid counter-notice is submitted and the complainant does not timely initiate legal proceedings; or
- The claim is subject to ongoing litigation.
7.5 Misrepresentation
Under 17 U.S.C. § 512(f), a person who knowingly materially misrepresents that material or activity is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys' fees.
7.6 AI-Generated Content
The Service uses automated systems to generate music and related outputs based on user Inputs. Sonilo does not manually review all user-submitted or AI-generated material before it appears in the Service.
A DMCA notice applies only to the specific material identified in the notice and does not determine whether Sonilo's training data, model design, or internal systems are lawful or infringing.
7.7 Similarity and Copyright Limits
Because machine-generated results may be similar across users, the same or similar Output may be generated for more than one person. Also, some jurisdictions may not recognize copyright in AI-generated material, or may recognize only limited rights. You are responsible for evaluating the legal status of any Output before relying on exclusivity or enforceability.
8. AI Disclosure
This section explains, at a high level, how Sonilo's AI features work and what you should keep in mind when using them.
8.1 Use of Artificial Intelligence
Sonilo uses machine learning systems that may analyze videos, audio, text prompts, lyrics, and other user-provided materials to generate music, sound design, lyrics, and related creative elements. These systems may be developed using a combination of licensed materials, public-domain materials, synthetic data, user-authorized data, and other sources lawfully used for those purposes.
8.2 Nature of AI Generated Output
AI-generated Output is produced algorithmically and may vary based on your Inputs, settings, and system behavior. You should understand that:
- Output may not be unique, and other users may receive similar or identical results.
- Output may contain unexpected, inaccurate, incomplete, offensive, or otherwise undesirable elements.
- Output may not qualify for copyright or other intellectual property protection in all jurisdictions.
- Attribution, credit, and disclosure requirements may vary depending on the laws and platform rules that apply to your use.
- You should review Output before publishing, distributing, monetizing, or otherwise relying on it.
8.3 User Inputs
Your uploaded media, metadata, and other Inputs may be used to operate, maintain, support, and improve the Service as described in these Terms, the Privacy Policy, and any applicable product settings or plan terms. Do not submit sensitive personal information, trade secrets, or other confidential material unless you are comfortable with that use.
8.4 Limitations and Risks
AI systems can produce inaccurate, repetitive, biased, inappropriate, or low-quality results. We may monitor use of the Service and may block, remove, or restrict Content that violates these Terms, community rules, or applicable law.
8.5 Responsibility
You remain responsible for your Inputs, your Outputs, and your decisions about whether and how to use, share, or rely on them.
8.6 Model Improvement
Sonilo may use aggregated, de-identified, or otherwise lawfully usable data to improve model performance, safety, reliability, and feature quality. If a separate plan term, product setting, or written agreement limits our use of certain Content for model improvement, that limitation will control for the covered Content.
8.7 Updates
We may revise this AI Disclosure from time to time. The revision date above reflects the latest update to these Terms.
9. Payment Terms
9.1 Subscriptions and Fees
- Paid plans may be billed on a monthly or annual basis, as shown at checkout or in your order flow.
- Except as required by law or expressly stated by Sonilo, fees are non-refundable.
- We may change pricing for future billing periods by providing advance notice as required by applicable law.
- If you fail to pay fees when due, we may suspend or limit access to paid features.
- If you are covered by an enterprise or other written agreement with Sonilo, that agreement controls to the extent of any conflict with this Section 9.
9.2 Refunds, Credits, and Billing Disputes
This Section 9.2 is part of these Terms and applies to purchases of subscriptions, credits, and other paid Service features.
General Rule
Unless required by law or expressly stated otherwise by Sonilo, payments for subscriptions, credits, one-time purchases, promotional offers, and other paid features are final and non-refundable.
Except where required by law, we do not provide refunds or prorated credits for partial billing periods, downgrades, unused time, or unused features.
No Refunds for Used Credits or Consumed Generations
We generally do not issue refunds, credits, or billing reversals because you changed your mind, did not use the Service, were dissatisfied with a creative result, or experienced access issues caused by your device, internet connection, or third-party platforms outside our control.
Credits
If the Service allows you to buy or receive generation credits or similar units of usage, those credits are consumed when a generation or other covered action is initiated, as described in the product interface.
- Once credits are used, the consumption is final and generally cannot be reversed.
- Because AI outputs are inherently variable, dissatisfaction with a particular result does not entitle you to a refund or credit reinstatement.
- By using credits, you accept the experimental and variable nature of AI-generated results.
Trials and Previews
We may offer free trials, demo access, previews, or promotional credits so that you can evaluate the Service before paying. It is your responsibility to assess the Service during those periods before making a purchase.
Legal Exceptions
If applicable law gives you a mandatory refund or cancellation right, nothing in these Terms limits that right, but any refund will be limited to the amount and scope required by law.
Billing Errors and Chargebacks
If you believe we billed you in error, please contact us first at [email protected] within seven (7) days after the charge so we can review the issue. If you initiate a chargeback or payment dispute in bad faith, or after receiving the Service and without first attempting to resolve a genuine billing error with us, we may suspend or terminate your account and pursue any remedies available to us.
By Paying
By purchasing a paid plan, credits, or other paid features, you agree to this Section 9.
10. API Use
If Sonilo provides you with API access, the following rules apply:
- You must keep API keys and credentials secure and may not share them except as expressly permitted by Sonilo.
- You may not exceed or attempt to circumvent documented rate limits, usage caps, or other technical restrictions.
- You may not use the API or Service outputs at scale to create datasets, train models, or replicate core Sonilo functionality without our written permission.
- You must comply with our API documentation and any additional API terms, policies, or technical requirements we provide.
- We may suspend or revoke API access immediately if we believe your use is abusive, insecure, unlawful, or inconsistent with these Terms.
11. Software
The Service, including related software, models, algorithms, APIs, documentation, user interfaces, and underlying technology (collectively, the "Software"), is owned by Sonilo, its affiliates, licensors, or service providers and is protected by intellectual property and other applicable laws.
Subject to your compliance with these Terms, Sonilo grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for its intended purpose. Except for that limited right, no rights are transferred to you.
You may not, and may not allow any third party to:
- Copy, modify, distribute, sell, lease, or create derivative works of the Software, except as expressly allowed by these Terms or applicable law;
- Reverse engineer, decompile, disassemble, or attempt to discover source code, model architecture, or underlying components, except to the extent such a restriction is prohibited by applicable law;
- Use the Service or Outputs to develop, train, or improve a competing AI system or service;
- Assign, sublicense, resell, or otherwise transfer rights in the Software except as expressly authorized by Sonilo; or
- Bypass, disable, or circumvent technical limitations, security measures, or usage controls.
Any rights you may receive in Outputs do not give you any ownership interest in the Software or underlying models.
If you access the Service from outside the United States, you are responsible for complying with applicable local laws.
12. Our Intellectual Property
12.1 Ownership
The Service and all Sonilo Technology, including in software, models, algorithms, APIs, text, graphics, images, audio, video, user interfaces, designs, and documentation, are owned by Sonilo or its licensors.
Except as expressly stated in these Terms, you receive no right, title, or interest in the Service, Sonilo Technology, and all rights not expressly granted are reserved.
12.2 Limited License
Subject to these Terms, Sonilo gives you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose.
Any use of the Service not expressly allowed by these Terms requires our prior written consent and may result in suspension or termination of your access.
12.3 Trademarks
Sonilo, our logos, product and service names, slogans, and the overall look and feel of the Service are trademarks, service marks, or trade dress of Sonilo and may not be used without our prior written permission.
All other trademarks or brand names referenced through the Service belong to their respective owners, and any reference to them does not imply affiliation, endorsement, or sponsorship.
12.4 Feedback
If you send us suggestions, ideas, comments, or other feedback about the Service ("Feedback"), you grant Sonilo a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable license to use, reproduce, modify, distribute, and otherwise exploit that Feedback for any purpose without compensation or attribution to you.
You agree that Feedback is non-confidential and that Sonilo may develop products, services, or features that are similar to or competitive with ideas reflected in your Feedback.
13. Privacy
Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge that you have reviewed and consent to our Privacy Policy.
We may collect account details, usage data, uploaded materials, prompts, generated outputs, device information, and other information needed to operate, secure, support, and improve the Service. We may also use service providers for hosting, analytics, payments, customer support, and related operations.
If you use the Service from outside the United States, your information may be transferred to, processed in, and stored in the United States and other places where Sonilo or its service providers operate.
We use certain administrative, technical, and organizational safeguards designed to protect personal information, but no method of transmission or storage is completely secure.

16.1 Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONILO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE.
AI-generated Outputs may be inaccurate, incomplete, unavailable, infringing, non-unique, offensive, or unsuitable for your intended purpose. You are responsible for reviewing and evaluating Outputs before using, sharing, licensing, publishing, or relying on them.

16.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
SONILO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE.
SONILO'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SONILO FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.
16.3 Indemnity
You will defend, indemnify, and hold harmless Sonilo, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Service;
- Your Inputs, prompts, uploads, or other Content;
- Your use, publication, distribution, sale, or other exploitation of Outputs;
- Your violation of these Terms or applicable law; or
- Your infringement or alleged infringement, misappropriation, or violation of any third-party rights.
Sonilo may assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate with that defense.
17. Termination
We may suspend, restrict, or terminate your account or access to the Service if:
- You violate these Terms;
- You misuse or abuse the Service;
- You fail to pay amounts due; or
- We believe suspension or termination is required for legal, security, or compliance reasons.
You may stop using the Service at any time and may cancel any subscription through your account settings or the method we make available.
18. Governing Law
These Terms and any dispute arising out of or relating to the Service will be governed by the laws of the State of California, without regard to its conflict of laws principles.
19. Arbitration; Class Action Waiver
Please read this section carefully. To the fullest extent permitted by law, you and Sonilo agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Sonilo will be resolved through final and binding arbitration, rather than in court.
19.1 Informal Resolution First.
Before starting arbitration, the party raising the dispute must first send the other party a written notice describing the issue and the requested resolution. The parties will try in good faith to resolve the dispute informally within thirty (30) days after that notice is received. If the dispute is not resolved within that time, either party may start arbitration.
19.2 Scope of Arbitration.
This agreement to arbitrate applies broadly to any dispute arising out of or relating to these Terms, the Services, your account, your Inputs, your Outputs, payments, billing, privacy, intellectual property, or any other aspect of your use of the Services, whether the claim is based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.
19.3 Arbitration Rules and Forum.
Any arbitration will be conducted before a neutral arbitrator in accordance with the rules and procedures of the American Arbitration Association ("AAA"), including the AAA Consumer Arbitration Rules, as applicable (collectively, the "AAA Rules"), except as modified by this agreement to arbitrate. Information about the AAA, including its rules and consumer arbitration procedures, is available on the AAA website.
If there is any conflict between the AAA Rules and this agreement to arbitrate, this agreement to arbitrate will control to the extent permitted by law, unless the arbitrator determines that applying the conflicting provision would result in a fundamentally unfair arbitration. The arbitrator will apply these Terms as a court would and will decide all issues except those that applicable law requires a court to decide. This includes questions relating to the scope, enforceability, and applicability of this this agreement to arbitrate, to the fullest extent permitted by law.
The arbitrator may award on an individual basis any relief that a court could award under these Terms and applicable law, including damages and injunctive or declaratory relief where available. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction.
Unless you and Sonilo agree otherwise, any arbitration hearing will take place in a location reasonably convenient to both parties, taking into account their ability to travel and the circumstances of the dispute. If the parties cannot agree on a location, AAA will decide the location in accordance with the AAA Rules. If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, by telephone, by video, or through an in-person hearing, subject to the AAA Rules. If your claim exceeds $10,000, the form of the hearing will be determined under the AAA Rules. Regardless of the format, the arbitrator will issue a written decision explaining the essential findings and conclusions on which the award is based.
19.4 CLASS ACTION WAIVER; INDIVIDUAL RELIEF ONLY
YOU AND SONILO AGREE THAT ANY CLAIM MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. UNLESS YOU AND SONILO BOTH AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MULTIPLE PERSONS OR PARTIES AND MAY NOT PRESIDE OVER ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED PROCEEDING.
THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY'S INDIVIDUAL CLAIM. THIS INCLUDES MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF. HOWEVER, TO THE EXTENT APPLICABLE LAW REQUIRES OTHERWISE FOR THIS PROVISION TO BE ENFORCEABLE, YOU MAY SEEK PUBLIC INJUNCTIVE RELIEF, AND THE ARBITRATOR MAY AWARD SUCH RELIEF AS PERMITTED BY LAW.
19.5 Arbitrator's Authority.
The arbitrator has exclusive authority to resolve all disputes regarding the interpretation, enforceability, formation, or scope of this arbitration provision, except that a court of competent jurisdiction may decide issues relating to the enforceability of the class action waiver to the extent required by law.
19.6 Fees and Costs.
Payment of arbitration fees will be governed by the arbitration provider's applicable rules and applicable law. Each party will bear its own attorneys' fees and costs unless the arbitrator awards otherwise under applicable law or these Terms.
19.7 Severability.
If any part of this arbitration provision is found unenforceable, the remaining parts will remain in effect, except that if the class action waiver is found unenforceable for a claim and that determination cannot be appealed, then that claim will proceed in court and not in arbitration.
19.8 Time Limit.
To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the claim arose, or it will be permanently barred.
